This deed made this 16th. day of October 1899 by the Piedmont Land and manufacturing company a corporation duly organized under the laws of the state of Virginia party of the first part, to Avalon Mills, a corporation duly organized under the laws of the State of North Carolina, party of the second part, Witnesseth: That the said the Piedmont Land and Manufacturing Company for and in consideration of the sum of Twelve Thousand Five Hundred Dollars ($12,500), in hand paid to it by the said The Avalon Mills, the Receipt of which is hereby acknowledged, and in consideration for the stipulations and considerations hereinafter expressed, hath bargained and sold and by these presents doth hereby bargain, sell, and convey unto the said The Avalon Mills, it's successors and assigns, the following described lands, and rights, and privileges which are more particularly described as follows, to with a certain tract of land lying and being in the county of Rockingham and State of North Carolina, Beginning at a small willow on the north bank of the Mayo River now made a corner of The Piedmont Land and Manufacturing Company's land; thence up said river, as it meanders, S. 64 Deg 44' E. 80 5/10 feet, S. 43 Deg 30' E 926 6/10 Feet, S. 48 Deg E 138 feet, S. 61 Deg 25' E. 370 3/10 feet, S. 74 Deg 30' E 172 9/10

Also a certain tract or parcel of land lying and being in the county of Rockingham and state of North Carolina, beginning at a stump on the East bank of the Mayo River, below and near the stone dam erected by The Avalon Mills; thence up said river as it meanders, with the water's edge, as backed by said dam N. 49 Deg 35' E 59 feet, N. 28 Deg 16' E 100 Feet, N 32 Deg E 100 Feet, N. 19 Deg 35' E 100 Feet, N 16 Deg 50' E 100 Feet, N. 25 Deg 52' E 100 Feet, N 12 Deg 30' E 200 Feet, N. 33 Deg E 100 Feet, N 71 Deg 46' E 100 Feet, N. 10 Deg 70' E 100 Feet, N 28 Deg 32' E 100 Feet, N. 38 Deg 45' E 90, N 63 Deg 55' E 39 5/10 Feet, to a stone in the line of John H. Price; thence with his line S 87 3/4 Deg E 333 feet to a stone R. A. Baughn's corner in said Price's line; thence, with the said Baughn's line S 24 Deg W 896 feet to a small chestnut oak corner of said Baughn and J.B. Fagg

and the Piedmont land and manufacturing company; thence a new line through the lands of the said The Piedmont Land and Manufacturing Company S 30 Deg 15' W 439 Feet to a stone; thence N 75 Deg 47' W through lands of said company 276 feet to the beginning, containing 9 6/10 acres more or less.

Also the following tract or parcel of land, lying and being in the county of Rockingham and State of North Carolina, being the land conveyed to the Piedmont Land and Manufacturing Company by J. M. Gallaway and wife by deed dated July 1, 1899 and described in the said deed as follows: All the land included between the R & S Railway, right of way on the West, Mayo River, on the East Piedmont land and Manufacturing company, on the south, and a line on the north drawn East and West across the mayo river to connect with the northern most point of land of said Piedmont Land and Manufacturing Company where it comes to Mayo River, on the East bank, a continuation of the East and West boundaries that is R & S Railway right of way on the West and Mayo River on the east - 800 feet up the river - it is estimated that the length north and South of the first line is 1200 Feet, Second line 800 feet, or 2000 feet in all this third tract including all the land between the R&S Railway right of way, on the West, Mayo River on the East, Piedmont Land and Manufacturing Company, South

and a point 2000 feet higher up the river including all riparian rights and privileges legally belonging there to The language of the description of this third tract is taken from the said deed from J.M. Gallaway and wife to the Piedmont Land and Manufacturing company dated July 1 st 1899

Also the rights and privileges to obtain and get such stone and clay as may be necessary for the Avalon Mills to use for manufacturing purposes from any of the lands of the party of the first part near to or adjoining the aforesaid land. Also the right to back the water from the dam erected by The Avalon Mills, to such distances and over such lands of the party of the first part as may be necessary or convenient in the course of manufacturing operations of the said The Avalon Mills. Also all water rights and privileges that may belong to any of the lands of the party of the first part adjacent to or abutting on either bank of the said Mayo River; That is to say - all water rights as may be use or may be required by the said The Avalon Mills, Belonging to the lands of the party of first part above or below the dam of the said The Avalon Mills, along the said river

This conveyance is made upon the express condition that the said the Avalon Mills will not sell any lot for building purposes to any person , firm, or corporation, for the period of 15 years from the date of conveyance; that

is to say that the said The Avalon Mills will not sell or convey any of the lots which have been laid out or may hereafter be laid out on any of the lands herein before described, within the said period of 15 years.

To have and to hold the aforesaid tracts of land, and the aforesaid rights and privileges together with all the privileges and appurtenances thereunto belonging, unto to the said The Avalon Mills, it's successors and assigns, to its and their only use and behoof forever; subject only to the conditions and stipulations aforesaid, and the said The Piedmont Land and Manufacturing Company covenants and agrees that it is seized of said premises in fee simple; that it has the right to convey the same in fee, that the same are free from all encumbrances and that it will warrant and defend the said title to the same against the claims of all persons whomsoever

In Testimony Whereof the said The Piedmont land and Manufacturing company hath caused these presents to be signed by it's President and attested by it's Secretary & Treasurer and hath also caused it's corporate seal to be hereto affixed this 16th day of October 1899
